This video is general legal information only and NOT legal advice or a substitute for legal advice. Trademark registration can be MUCH MORE COMPLEX than highlighted in this video. It is important to always do a thorough trademark search BEFORE applying for a trademark through the USPTO. Once you file, you cannot get your money back. So make sure there is no one else using your trademark before you apply. You can do this by searching the internet. Search for domain registrations that may be similar. Search on Google. You can Thomson Thomson to run a detailed paid search. You should also try to pick "arbitrary and fanciful" names as opposed to suggestive and descriptive terms. In other words "Nike" or "Xerox" are better names than "Sports Shoes Company" or "Copy Paper Inc." Be creative - think out of the box. Also, keep in mind there are many different things you can get a trademark (for goods) or service mark (for services) for. Examples are: 1. Your company logo 2. A slogan you use in your business 3. Nicknames (ex. "Johnny Football") 4. Your business name These are just a few of the common examples. At any rate, this video should help you understand what lawyers do when filing a trademark. When Should I Trademark My Name or Logo? - All Up In Yo' Business

Contact Aiden and learn more at www.180lawco.com. Someone asked me recently when is the best time to trademark your business name or logo. The simple answer: As soon as possible! Really, in general, the sooner the better for filing a trademark for your business name or logo. I discussed in a previous video that you have some trademark rights under common law even if you never register it with the U.S. Patent and Trademark Office (USPTO). But, having a registered trademark is infinitely better and it makes your trademark rights a lot stronger. So, even though you might have a common law trademark in something, its always better to actually register the trademark if you can. To register a trademark, you do have to be actively using whatever the trademark is in commerce. So, if your business is already established, i.e., you have a website or marketing materials using your business name or logo that you are trying to trademark, then you are actively using it in commerce and that will work in your favor when you try to get it registered. If you’re not quite there yet, for example, maybe all you have so far is a great logo, you can still file an application for the trademark. However it is an “intent to use” application… and it is exactly what it sounds like. It means that you are intending to use whatever the trademark is. So, that will buy you some time in being able to actively use that trademark in commerce, but still getting that protection if your trademark is ultimately registered. So, even if your business is not actively started yet, you can, in most cases, still file that intent to use application to get a head start on that trademark registration. So, simply put, the sooner you can file a trademark application, the better off you are. It basically gets you first in line in priority of using that trademark, assuming no one else has already used it. And if you are still getting your business started, you can file that intent to use application in order to get a little extra time for you to start using it actively in commerce. Names, such as product names or company names are typically protected with trademarks. My first advice is to ask a patent attorney or an attorney experienced in trademarks to help you with protecting your name as a trademark. But if you want to get a glimpse of what is needed to do this, then here are the most important things to consider: First of all, you would want to compile all the information you need to protect a name as a trademark. The main three pieces of information would be: a) The sign (e.g. name or logo) b) The goods and services c) The applicant Goods and services are grouped into so called Nice classes, as you will see in the following example: If you want to open a dance studio under the name MARIMBA then this information would be a) Sign: MARIMBA b) Goods and services: 41: Education, entertainment and sports (including e.g. dance clubs, dance instruction, …); 43: Provision of food and drink (e.g. a bar); 25: headwear; clothing; footwear c) Your company name and address or personal name and private address Before protecting a name as a trademark, you find out, whether there are earlier identical or similar trademarks that could cause a conflict. As an example, you do not want to launch a new car under the name of PMW – it would be too similar to BMW. I have a link to a detailed video in the shownotes how to conduct a search for earlier similar trademarks. Once you made sure that there are no conflicting earlier trademarks or company names, then you can actually file your trademark application with the intellectual property office of your country or region. Many trademark offices nowadays offer to file trademarks using a simple web form. You can navigate there and then enter the information that we compiled above. Once submitted, you can a receipt and the office will then start examining your trademark application. The trademark gets registered, if the office did not find any formal errors or did not object to the trademark application for other reasons such as descriptiveness of the mark. Once your trademark is registered, you can use the trademark e.g. to tell other competitors not to use identical or very similar names for the protected services. Or you can issue licenses to your trademark for other dance studio owners and make money that way. I hope I was able to show you how to protect a name or business name. Trade names, or company names, are designed to identify the company, the business. They are designed to identify YOU. Whereas trademarks are designed to identify a product or a service. And there is a big, big difference. So a trade name, or a company name, protect the name of the company no matter what the company does, and in most countries, if you register a company name, that business can do anything. So if you are a software company, it does not mean that you can’t sell balloons, or pens, or refrigerators, or offer some services under that same legal name. However, it is very different from trademarks where trademarks are registered in association with particular products and services. Remember, the function of a trademark is to let the market tell your products and services apart from identical products and services or similar products and services of everyone else. It does not mean that trademarks are designed to protect the company name. It does not mean that you can’t protect a company name through a trademark. But it has to be a name that the company is using AS their trademark. So for example, Microsoft, they get the protection for their company name not because it is their company name, but because that’s part of the product name Microsoft Windows, Microsoft this. Microsoft that. And also because they are providing services under that name—and that’s what trademarks protect. So trade names, or company names, there is nothing that prevents you from having one name for a company and completely different product names or service names that you can get as a trademark. So when you incorporate your business, just because you’re able to register your company where a particular name, it does not mean that you now have a trademark. It doesn’t mean that the name is protected. It doesn’t mean that you’re done. These are two completely separate areas of government who look at it. The Trademarks Office is separate from the Corporate Office. Many brand names seem meaningless to us but have an interesting explanation in the language of the country they come from. “Lego” means “play well” in Danish, “Fanta” comes from German “Fantasie”, Chupa Chups was named so after the Spanish verb “chupar”, which means “to suck”, “Samsung” is Korean for “3 stars”. “Pandora” has to do with a myth of the creation of the first human woman named Pandora. Trade names are used to identify a business or a company (that's why they are also often called "business names" or "company names"). Trade names are the "who" of the business. Customers deal with a business bearing a particular trade name. As stated above, trademarks are used to identify products or services. They are used to identify that, which your business offers to the public. Customers buy products and services bearing the trademark. In very simplistic terms, customers buy trademarks from trade names. Every business registered with the Registrar of Companies or incorporated (provincially or federally) has a trade name. But neither the reservation of a corporate name nor the formation of a corporation create an absolute right to use the business name of the corporation in that jurisdiction. Rights in corporate names are treated like rights in unregistered trademarks, which means that unless you are actually known under that name in a specific geographical area, there is not much you can do to stop others from adopting a similar or even identical name. Even if you register a corporate name that no one else had thought of before, it does not give you the right to stop others from using it, unless you can prove that other person's use of the name creates confusion. Just because you came up with a fancy company name that helps you attract customers for whatever products or services you are offering does not mean that your name, or brand, is a trademark. If you are not using your trade name as a trademark, your don't have trademark protection for your trade name. A trade name can be registered as a trademark, but only if you use it as such, that is, to identify products or services. Let's say, your company is called Awesome Software Inc. and you make software. If you phrase your marketing materials to say that "Awesome Software Inc. offers such great titles as Text, Calculator and Presentations", you are using "Awesome Software" as a trade name, but not as a trademark. If you phrase them to say "We offer Awesome Software™ Text, Awesome Software™ Calculator and Awesome Software™ Presentations", then you are using "Awesome Software" as a trademark, even though it is also your trade name. The classic example is, of course, Microsoft® Windows® or Microsoft® Excel®. We don't buy Microsoft, we buy from Microsoft. But because "Microsoft" is a part of the name of the product we buy (and part of the reason why we buy it), it is also protected as a trademark in its own standing. On the other hand, corporate registries don't really check if the name submitted for registration violates any prior rights. In other words, just because a provincial corporate registry approved your company name for registration does not mean that you don't violate someone else's prior right (in a trade name or a trademark) and that you will not be compelled to change it in the future. You could probably register a company called Microsoft Awesome Software Development Inc. in British Columbia today. But if you started using that name in your business, it wouldn't be long before you get a letter from Microsoft's lawyers demanding that you immediately cease using that name and possibly also pay a hefty amount for infringement of their trademarks. So when should you consider registering your trade name as a trademark? There are two types of customers who may be interested in what you have to offer. The customers from the first category buy your services or products after looking for these specific services or products. You would not gain anything with customers from the first category if you register your company name as a trademark. On the other hand, the customers from the second category buy your services or products after looking for you, as in "I've heard that ABC makes great vacuum cleaners, which model would you recommend?" They are willing to rely on your expertise, because they already made the decision to buy from you. If you have a significant number of customers from this category and your business is more than just you personally, you should definitely consider registering your trade name as a trademark.

Trademarks legally conflict with each other, if the use of one trademark causes public confusion as to the product being offered in the market ( likelihood of confusion ) The american law protects trademarks even if its not registered, which is also known as the Common Law Trademark Rights, in this case registration is not required to establish trademark rights, seeing that the first who use a trademark in commerce owns it. On the other hand, Most countries require registration of a trademark , as it provides legal certainty and reinforces the position of the right holder . therefore any subsequent users who cause confusion as to the product or its origin , will be forced to stop using the mark , and might be liable to pay the trademark owner damages. Lastly, Trademark is not absolute as its subject to various limits and defenses, such as abandonment, limitations on geographic area in which the mark is used , and fair use , which means that the more common and generic the word is , the less likely the trademark owner may be able to regulate it. Well, this is a great, and complex question. First off, a trademark is... A distinctive word, symbol, or phrase that's affixed to goods or services in commerce as an indicator to identify their source or origin. Trademarks are Brands... Just like the brands that used to be burned into the hides of cattle to identify the ranch they came from. You acquire trademark rights by actually using the mark in interstate commerce to sell goods or services. Trademarks protect only against others using the same or confusingly similar marks in the same class of goods and services. So, if you have a trademark for a particular brand of medical device, you probably can't prevent the same mark being used for a line of shoes, or as a title for a TV series... Now, because we are talking about what the person describes as a "generic phrase" it's probably not distinctive enough for trademark registration just by itself. But, the inclusion of a stylized letter and distinctive design might make it registrable as a logo design. Now, the process isn't that hard. Nowadays, we do the applications online, and it's a step by step process. But it can be tricky because how you complete the application can have a big impact on whether or not the application gets approved. You might, for example, need to disclaim certain aspects of the mark, like the generic phrase in our readers’ situation. Or, selecting the right kinds of specimens of use to ensure maximum coverage and protection. It's also possible to go too narrow or too broad in the description of goods and services and risk being underwrote the, or possibly losing your mark later if you're discovers to have overstated the scope of your use of the mark. The best way to ensure your trademark gets registered, and you get all the benefits and protections, is to have a lawyer prepare the application for you. Those of us who do this a lot have learned about all the problem areas, and have a handle on the best practices to get things done right. My experience is that folks who do it themselves have their applications rejected more often, and then, unfortunately have to hire me to fix the problems they encounter. That usually costs as much or more than they'd have paid me to do the registration in the first place. Your trademarks, your brands, may someday be the most valuable assets your business owns. So, it makes sense to invest a little bit now to protect them, when doing so is relatively easy. Rather than paying a lot to clean up messes later. --- So, what's the proper or best business structure to maximize profit, minimize liability and protect assets from taxes and judgements? Well, there are several kinds of legal structures that can help on this. The most common, and most established is the corporation, which provides insulation from liability for shareholders. But corporations come with some administrative hoops you need to jump through, and they have to pay taxes separately, so income can sometimes be taxed twice. Sub chapter S corporations are for small, closely held companies, like family owned enterprises, and similar, where there are a small handful of shareholders... These corporations can be taxed like a partnership, where profits pass through directly to shareholders, so that double taxation doesn't happen. But these corporations also have the administrative hoops I mentioned before. An LLC offers most of the advantages of corporations, but can be taxed as a pass through entity, and don't have the same administrative hoops, but they’re not as well established forms of entities, and can have other tricky aspects. The bottom line is, I just can't give a general answer here. Every business is different, so you need to consult with an experienced business attorney (like me) who can help evaluate the situation and advise you accordingly. Getting this stuff right is important, and it's always best to handle these things as you're starting up, so you don't wind up having to backtrack, or unwind transactions later on when your structure changes. Invest a bit now, so you don't overspend on fixes later. Yet many businesses neglect to protect this asset. A common misconception is that a business is covered if it registers the company name and domain names. In the UK, trade mark registrations, domain name registrations and Company Name registrations all sit in parallel. Simply registering a domain name or company name does not mean you are free to use that name in trade. Only trade mark registration creates a monopoly in the brand -- enabling you to stop others using your brand or something similar. Let's start with what's similar. Both trademarks and domain names help people find you and your business. Both trademarks and domain names operate on a first come, first serve basis meaning that you can easily check if a certain name is available, but also just because it's available today doesn't meant that it won't be taken by someone else tomorrow. At which point, you're out of luck. Just because you are the first who thought it might be a good idea to own a name means nothing unless you actually act on it. Also, you can build value around both trademarks and domain names and you can license or even sell them. There are also a few differences. The trademarking process is much longer and much more complex compared to getting a domain name. It takes a few minutes to register a new domain name. It takes more than a year to register a trademark. Anyone can register a domain name. You need experience and specialized knowledge to successfully register a trademark. You need to renew domain names every year. You need to renew trademark every 10 years in most countries and every 15 years in Canada. With domain names, if the exact domain name is available, you can have it. With trademarks, even if the exact name is not trademarked, you won't be able to get it if there is another previously applied for or registered a confusingly similar trademark. Of course, trademarks are significantly more expensive to get than domain names. There you have it. There's lots of similarities and a lot of differences. What's important is that most businesses need to have both. They need to have their brand reflected in domain names and they need to have their brands protected as trademarks. Instead, Sarah takes a look at them to see if they are legally compliant (and spoiler - they aren’t!). Here are the mistakes they made: MISTAKE #1: Selling Copyrighted Products The first store that Sarah reviewed (Scoops World Online) was making a HUGE mistake by selling phone cases that featured copyrighted photos, pictures, characters and trademarked logos (and yes - photos can contain copyrights as well!). On Aliexpress, a lot of sellers will sell items that contain copyrighted pictures and characters, and sell items that contain logos that are trademarked. A lot of people make the mistake that surely these manufacturers are only selling them if they have the right to do so? But unfortunately, they almost always don’t. The reason why they do it is because they know that they can get away with it, not because they have the right to do so. It’s very tempting to sell items that feature copyrighted characters/trademarks because they sell extremely well. The reason why they sell extremely well is because companies like Disney have poured enormous amounts of money into making them super popular. That is why they protect their copyrights/trademarks: they want to capitalize on that popularity and keep all of that money for themselves! However, this does lead to another question that we get asked a lot… QUESTION: Can I Sell Items that Contain Chinese Manufacturers Names? YES! Yes you can. There is NOTHING wrong with selling items that contain copyrights or trademarks, as long as you acquired those items LEGALLY. So you can tell a Captain America action figure, as long as you acquired it from a source that either produced it legally, or bought it legally. The problem with Chinese manufacturers is they usually did not produce their Captain America phone cases legally in the first place, which makes the items illegal - and thus, it makes it illegal for you to purchase them and resell them. If the manufacturers had produced them legally, it would be legal for you to sell them. So when a Chinese manufacturer places their brand/logo on an item (e.g. the manufacturer Transhome likes to put the name of their factory - Transhome - on their products) it’s absolutely fine to buy and resell that, as they had the right to make that item in the first place. MISTAKE #2: Not Having a Refund Policy Page The second store that Sarah reviewed (Doggo Trend) did not have a refund policy page anywhere on the website. This is a big problem because it means that if the customer wants to return an item for an illegitimate reason (e.g. they bought the wrong sized shirt) that you can’t point to a refund policy page and say, we don’t accept refunds if you purchase the wrong size, and we made this clear before you bought it. The customer now has an opening to argue with you that they should receive a refund - which increases the chances that they’ll try to do something like file a dispute with PayPal. And yes: you would probably win that dispute. But now your seller metrics have been negatively impacted. Be sure to protect yourself with a refund policy page. MISTAKE #3: Not Including a Shipping Time Disclaimer When dropshipping from Aliexpress, the shipping times can be 10-20 days long with epacket to the USA. This is an abnormally high shipping time. It is not fair to the customer to not warn them that the shipping times are going to be long. The third store that Sarah reviewed, Kokosale, did NOT include a shipping time disclaimer on their product pages. This is very concerning: you should include a note (and we recommend bolding it) saying that shipping will take either 2-3 weeks, or 2-4 weeks to be safe. If you do not warn the customer, they could get very upset and legitimately ask for a refund, file a PayPal dispute or file a chargeback. And the chances are, you will lose that dispute because you were engaging in shady practices. So don’t try to hide the shipping times - set the expectation for the customer. Be upfront and let them know!

At a fundamental level, Copyright protects your original creative works such as books, movies, songs, paintings, photographs, and web content. As the owner of a copyright, you can control how your work is reproduced, distributed and presented publicly, and you can sue infringers in court. An idea itself cannot be copyrighted. A work must be in a fixed, tangible form to be protected. Copyright registration provides legal evidence and public notice of ownership, and by allowing the copyright owner to bring suit in court if there’s any infringement. Authors, artists, and other creative professionals typically seek copyright protection. On the other hand, Trademark protects the names, symbols or slogans for products or services that you sell. In other words, a trademark lets the consumer tell the difference between one company's product or service from another's. Trademarks include brand names such as "Coca-Cola" and images such as Nike's famous "swoosh." As the owner of a trademark, you can sue for trademark infringement and prevent someone else from using your name, symbol, or slogan. A trademark registration can potentially have an unlimited term, but has be renewed every ten years. The owner can renew the trademark registration as long as the mark remains in continued use. And lastly, patent protects your inventions and designs. There’s two kinds of patent protection — utility patent and design patent. Utility patent protects your inventions with a new or improved function, such as machines, processes, or chemical compositions. On the other hand, design patent protects any new, original, and ornamental design for an article of manufacture that does not affect the article's function. Filing a utility or design patent gives you the exclusive right to prevent others from making, using, selling, or importing the protected invention. If you do not file a patent, then the law doesn’t offer any protection for your invention. A utility patent protects an invention for 20 years and it cannot be renewed. On the other hand, a design patent protects a design for 14 years and it also cannot be renewed. Inventors and designers typically need patent protection. OHIM (the Office for Harmonization of the Internal Market, somtimes just called the EU Trademark Office) offers a service called TMView for conducting a trademark search. https://www.tmdn.org/tmview Not only the EU member states but also other countries and offices such as the WIPO, US (USPTO) and Korea are contributing their data to this handy database. You can click on Advanced Search and then enter the name of your new product. You can also limit your search with many other criteria such as the classes for goods and services. One very interesting feature is the possibility to also search for similar trademarks. Lets use an example: we want to lauch a new line of t-shirts under the name of marimba. So we enter marimba in the trademark field. We also want to limit the search to class 25 for clothing. Also, we could add classes 18 for bags, 14 for jewellery and 35 for retail services, since these are sometimes considered similar. And then we check the checkbox called Fuzzy. We cold in theory limit the search to particular offices. After submitting the search we are presented with all the similar trademarks in class 25. Your patent attorney is liable for what he says and if your are successfully sued by an owner of,an earlier mark, the insurance of your patent attorney may cover for the damage in case he said that he does not expect any issues with this particular trademark. Also, experienced trademark professionals will know the relevant caselaw when two trademarks are considered too similar. These things are a violation of #trademark, and can be sued. Here is everything you need to know about trademark. Now, what is a trademark? A trademark is practically anything that your customers - or potential customers - connect with. For young companies, this usually means a brand name, logo or slogan, or all three at the same time. Sometimes, your logo contains your name, as in the case of BMW or Coca Cola. This is called a logo composite mark. What does it mean to own a trademark? It means that you control the commercial rights to the brand name, logo or slogan in that sector. Each sector is known as a class. There are 45 classes in all. For example, Class 28 relates to games, toys and sports equipment. So when you trademark your toy brand under Class 28, nobody else in your field of business can use the same/similar name. "If someone else is already using a word/phrase in the name of their business or product, and I really like it, am I allowed to use it in my business too?" In many cases, yes. If they haven't trademarked it, you can use it. If it's a friend or colleague, it would be good to talk with them about it first, of course. How do you know if someone has trademarked a word or phrase? ® and ™ are different. The ® symbol means it's officially registered with the US government as a trademark. The business has gone through the legal paperwork and paid the fees for an official registered mark. If you use that same word/phrase for your business it would be illegal. However, ™ is only an intention. Anyone can put ™ next to any word/phrase without having to file any legal paperwork. ™ means "I'm thinking about trademarking this word/phrase... so you might want to use another word/phrase, because if I officially trademark this word/phrase in the future, you might be wasting all of your brand-building effort on this word/phrase, because it'll be legally mine at that point." From what I've seen, however, many people who use the ™ symbol never go through with officially registering their trademark... In other words, if you really like a name/phrase some business is already using, even with a ™ symbol you can still use it temporarily for your own business. Just be flexible about changing it in the future. My example: years ago someone suggested that what I do is help people with their “true livelihood”. I liked that term a lot, and started using it. Later, when I tried getting the domain name, I discovered someone else had been using that term for years, but never officially trademarked it. So I’ve been using it just fine for the last 4 years, and it’s been no problem at all. This has been true with several phrases I’ve used, such as Authentic Marketing. If you want to use a term, just google it. Make sure there’s no ® symbol. NOTE: I'm not a lawyer so if you're making a serious decision about your business, don't depend on this video or piece of advice as the end-all-be-all. Get your own legal counsel if needed.

But product names were the original reason for trademarking. You had a product, a physical product, and you had a brand name attached to it that you wanted to protect… So how do you approach trademarking product names? Ideally, you don’t want to have the type of your product trademarked as part of the name. Apple did not trademark “iPad Tablets”, they trademarked “iPad”. McDonald’s did not trademark “Big Mac Burgers”, they just trademarked “Big Mac”. So if you can possibly trademark your name without the description after it—that’s a stronger trademark, that would give you a lot more ways to go against somebody else who may want to use your name for something close, but not quite. That’s especially important for the food industry where there is a lot of different possibilities, but the brand can be recognizable for the entire thing. So if you can get away with not adding the specific things that you’re selling under your brand, don’t add those things to your trademark application.
